James Barnes - Chairman of the Board
James is a member of the firmʹs Corporate & Securities Group. He has a wide range of experience in corporate and securities law matters. James has helped numerous companies raise capital in public and private offerings of debt and equity securities. In addition, he regularly assists public companies with the preparation and review of their SEC periodic reports. James also has extensive experience representing companies in merger and acquisition, joint ventures and other complex corporate transactions.
A significant portion of his practice focuses on structuring equity‐based compensation arrangements, incentive compensation plans and executive employment agreements, where he draws on his broad base of experience and knowledge concerning the securities law, tax and accounting considerations involved in analyzing such arrangements. His executive compensation practice includes advising clients on matters involving Section 16 of the Securities Exchange Act of 1934, and the development and implementation of Section 16 and ʺinsider tradingʺ compliance programs.
